Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Black Dog Trading Cards ("BinderTrax", "we", "us", or "our") governing your access to and use of the BinderTrax mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an account. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Your Account

• You must provide an accurate email address and keep your account information current.
• You are responsible for safeguarding your password and for all activity that occurs under your account. Choose a strong, unique password and do not share it.
• Notify us promptly at [email protected] if you suspect unauthorized use of your account.
• We may require you to verify your email address before granting full access.

3. What BinderTrax Does

BinderTrax helps collectors and sellers catalog trading cards, look up estimated market values, scan cards using your device camera, manage inventory, and — for users who connect the relevant accounts — prepare and manage marketplace listings. Features may change over time.

4. Pricing and Valuation Estimates

Market prices, valuations, condition assessments, and appraisals shown in the Service are estimates compiled from third-party data sources and automated analysis. They are provided for informational purposes only, are not guarantees of value, and should not be relied upon as the sole basis for buying, selling, insuring, or grading any item. The appraiser feature provides an advisory condition read and is not a certified grade. You are solely responsible for your transactions.

5. Third-Party Services

The Service integrates with third-party providers, including cloud hosting and authentication, payment processing, image and text recognition, marketplace integrations, and trading-card pricing data providers. Your use of those integrations may be subject to the third parties' own terms and privacy policies. We are not responsible for third-party services, and their availability is not guaranteed.

6. Affiliate Links and Compensation

Some links to eBay and other third-party marketplaces within the Service are affiliate links, including links placed through the eBay Partner Network. If you click one of these links and make a purchase, BinderTrax may earn a commission or other compensation from the marketplace or seller, at no additional cost to you. This potential compensation does not influence the card identification, pricing, or valuation information the Service displays, and does not affect the price you pay.

7. Your Content and Data

You retain ownership of the inventory data, images, and other content you submit ("Your Content"). You grant us a limited, non-exclusive license to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for ensuring you have the rights to any content you upload.

8. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• scrape, reverse engineer, or resell the Service or its data except as expressly permitted; or
• upload content that infringes the rights of others or that is unlawful.

9. Payments and Subscriptions

If the Service offers paid features or subscriptions, payments are processed by our third-party payment processor. Prices, billing cycles, and refund terms will be disclosed at the point of purchase. You authorize us and our processor to charge your selected payment method for the amounts you agree to.

10. Intellectual Property

The Service, including its software, design, and branding, is owned by BinderTrax and its licensors and is protected by intellectual property laws. Trading-card names, images, set logos, and related marks are the property of their respective owners; BinderTrax is not affiliated with, endorsed by, or sponsored by any trading-card publisher or marketplace unless expressly stated.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PRICING OR CONDITION ESTIMATES WILL BE ACCURATE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDERTRAX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $50.

13. Indemnification

You agree to indemnify and hold harmless BinderTrax from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the version and effective date above and, where appropriate, notify you in the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the courts located in the State of Maryland, unless applicable law requires otherwise.
